Although RWA (Real World Assets) tokenization provides investors with advantages such as high liquidity, low barriers to entry, and global investment opportunities, it still faces many challenges on the legal and regulatory front.


1. Inconsistent Legal Frameworks
Different countries have varying definitions and regulatory standards for tokenized assets. Some classify them as securities, while others treat them as commodities or digital assets.
This means cross-border transactions of RWA tokens may face different legal requirements under different jurisdictions, making compliance more complex.


2. Securities Laws and Compliance
Financial RWAs such as tokenized stocks or bonds are often considered securities and must comply with local securities laws and registration requirements.
Regulations on investor protection, Anti-Money Laundering (AML), and Know Your Customer (KYC) must be strictly followed; otherwise, regulatory penalties may be imposed.


3. Smart Contracts and Legal Liability
The issuance and trading of RWA tokens often rely on smart contracts for automation. However, smart contracts may contain vulnerabilities or design flaws.
If errors or losses occur, the current legal framework does not clearly define liability, making it difficult for investors to seek compensation.


4. Proof of Assets and Ownership Disputes
Tokenizing real-world assets requires ensuring a one-to-one correspondence between on-chain tokens and physical assets.
If custodians mismanage assets or issue fraudulent tokens, it could lead to ownership disputes and legal conflicts.


5. Cross-Border Regulatory Coordination
The global nature of RWAs means asset holders and traders may be spread across multiple countries.
Different jurisdictions have varying regulatory approaches and enforcement strength, making international compliance coordination a major challenge for RWA development.


Summary
Legal and regulatory uncertainty is one of the core risks of RWAs. Investors participating in RWA markets must pay close attention to whether issuers comply with local regulations, whether custodians are trustworthy, whether smart contracts are audited, and whether trading platforms meet regulatory standards.
